Job Specification | Key Responsibilities
a. Provide secretarial services and technical support to the Corporation Board of Directors and its Committees to enable them meet their obligations; b. Provides legal representation and manage litigations; c. Prepare, circulate and maintain safe custody of Board’s minutes, legal documents, instruments and Corporation’s seal; d. Facilitate the Board in carrying out induction and training; e. Update Board and Committees on charters; f. Prepare and implement Board work plans; g. Maintain and update the register of conflicts of interest; h. Interpret Laws governing the Corporation’s operations and giving legal advice; i. Ensure that all the licenses, agreements and permits of the Corporation are valid and renewing legal contracts; j. Ensure the safety of the Corporation from Legal litigations; k. Ensure documentation of all legal documents of the Corporation are in order to maintain confidentiality l. Formulate, vet, review, negotiate contracts, leases, agreements and Memorandums of Understanding and recommending for execution by the CEO; m. Review the Corporation’s legal framework and propose amendments; n. Participate in formulation, implementation and review of policies in line with relevant laws and Government policies; o. Provide overall supervision of legal audits and ensure compliance with relevant legal requirements; p. Coordinate implementation of a robust performance management system within the legal services division by providing oversight of the delivery of the annual performance contract and strategic plan; q. Manage, supervise, coach and mentor staff in the legal services division and foster a corporate culture that promotes ethical practices and good citizenship; and r. Any other duty or responsibility as may be assigned by the CEO.
Requirement for Appointment
A person shall be qualified for appointment as the Corporation Secretary/Manager Legal Services if that person meets the following minimum requirements:
a. At least ten (10) years’ work experience, five (5) years of which must have been in senior management role b. Master’s degree in Law, Business Administration, Public Administration or its equivalent qualifications from a recognized institution; c. Bachelor’s degree in Law or its equivalent qualification from a recognized institution; d. Postgraduate Diploma in Legal Studies from the Kenya School of Law; e. Advocate of the High Court of Kenya and in good standing; f. Member of the Law Society of Kenya (LSK) and in good standing; g. Certified Public Secretary (CPSK); h. Member of ICPS (K) and in good standing; i. Management/Leadership Course lasting not less than Four (4) weeks from a recognized institution; j. Proficiency in computer applications; and k. Fulfilled the requirements of Chapter Six (6) of the Constitution.

Terms of Service
Five (5) Years Contract renewable subject to retirement age and satisfactory performance. Compliance with Chapter 6 of the Constitution The successful candidate shall be required to meet the following compliance requirements: • A Certificate of Good Conduct from the Directorate of Criminal Investigations (DCI) • A Clearance/Compliance Certificate from Higher Education Loans Board (HELB) • A Tax Compliance Certificate from Kenya Revenue Authority (KRA) • A Clearance Certificate from the Ethics & Anti-Corruption Commission (EACC) • A Clearance Certificate from Credit Reference Bureau (CRB)
